1. About these terms
These Terms of Service (the "Terms") are a legal agreement between you ("you") and Gro Pro Ltd, a company registered in England and Wales (Company No. 15243559) with its registered office at C/O AJS Accountants Ltd, Gibson House, Ermine Business Park, Huntingdon, Cambridgeshire, PE29 6XU ("we", "us", "our"). They govern your access to and use of the Grow Pro® mobile app, website and related services (together, the "Service"). Grow Pro® is a registered trade mark of Gro Pro Ltd (UK Trade Mark No. UK00004034914).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and your account
You must be at least 13 years old to create an account. If you are under 16, you may need a parent or guardian's consent.
You agree to provide accurate information when registering, and to keep it up to date. Much of what the Service tells you depends on it.
You are responsible for keeping your password and account secure. Tell us as soon as possible if you suspect unauthorised access.
One account per person, except where we expressly permit otherwise.
3. The Service
The Service helps you plan, plant and care for your garden. It gives you personalised care recommendations and reminders worked out from your location, your soil and what you are growing, a place to record your garden, and Sage, which answers gardening questions from our own reference tables.
It also includes, or will include:
- a soil testing service, where the laboratory sends you a sampling kit and analyses the sample you send back, and we prepare your report (section 7)
- garden products, which we may sell or arrange to be supplied to you (section 8)
- plant identification from a photograph. This is planned and is not in the Service today. We will not describe it as available until it is.
We may add, change or remove features at any time. Some features are free; others are part of a paid subscription described in section 4.
Grow Pro® is a guide, not a guarantee. Gardens differ over very short distances and the weather does what it likes. Nothing in the Service is a promise that a plant will grow, survive, crop or flower.
4. Subscriptions, billing and cancellation
Some features require a paid subscription. Prices and what is included are shown in the app or on our website at the time of purchase, including any VAT.
Payment is taken through Stripe and renews automatically at the end of each billing period unless you cancel. We will remind you before each renewal.
You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
5. Changing your mind
We give you 28 days to change your mind about anything you buy from us, which is longer than the 14 days the law requires, so you do not have to work out which rule applies to which purchase.
- A subscription or other service. The 28 days run from the day you buy it. If you ask us to start straight away, you can still cancel, but we may charge for what you have actually used.
- Anything we post to you. The 28 days run from the day it arrives. Tell us, return it in a resaleable condition to the address we give you, and we will refund you. If you have changed your mind rather than received something faulty, the return postage is yours to pay.
- Digital content supplied immediately. Where you agree to immediate supply and acknowledge that you are giving up the right to cancel, that right is lost. We will always ask for that separately and never bury it.
Refunds are made within 14 days of us receiving the item back, or of you telling us you are cancelling a service.
To cancel, go to your account settings, or email hello@growproltd.com if you would rather we did it for you.
6. Things we post to you
This section is about products. The soil sampling kit is posted to you by the laboratory, not by us, and section 7 covers it.
- The delivery cost is shown before you pay and is included in the total.
- Where we sell a product, the despatch and delivery times are shown before you pay. Those are estimates, not promises.
- If we have not delivered a product within 30 days, or by any date we agreed with you, you may treat the contract as at an end and get a full refund. That is your right under the Consumer Rights Act 2015.
- Goods are our risk until they are delivered to you or somebody you have named to accept them.
- If something arrives damaged or wrong, tell us at hello@growproltd.com and we will put it right. We pay the postage on anything faulty, wrong or damaged.
7. Soil testing
Where you order a soil test:
- The laboratory posts the sampling kit to you directly, with instructions and a prepaid envelope for sending your sample in to them, so we pass them your name and address to do that. Nothing physical passes through us at any point. The kit comes from the laboratory, the sample goes back to the laboratory, and we receive the report and put it in your app.
- The laboratory analysis is carried out by an independent laboratory, Richard Austin Agriculture Ltd. We arrange it and we interpret the results in the app. We do not carry out the analysis ourselves.
- The sample itself goes back under a reference number, not your name. The app generates the number and shows it to you, the bags in the kit carry it, the laboratory reports against it, and we match the result to your garden at our end.
- The analysis relates to the sample the laboratory receives, and is representative only of that sample. How and where you take it changes the answer, which is why the kit comes with instructions and why we ask you to follow them.
- Most reports reach you within two weeks of the day you post your sample back to the laboratory. Four weeks from that day is the longest it should ever take, and four weeks is the period we agree with you for a soil test; it applies instead of the 30 days in section 6, which is about products we post. The clock starts on the day you post your sample, not the day you order: the time a kit waits in your hallway is yours, and does not count.
- Four weeks is the longest it should take, and it is not open ended. If your report has not reached you four weeks after you posted your sample, tell us at hello@growproltd.com. We will find out where it is and give you a date. If we miss that date as well, you can end the contract and get a full refund.
- If your sample arrives damaged or is unsuitable for analysis, the laboratory will send you a replacement kit and ask you to take another sample. There is no charge to you.
- Changing your mind about a soil test. You can cancel and get all your money back at any time up until your soil reaches the laboratory. Cancel yourself in your account before your kit is posted, or email hello@growproltd.com after that and we will do it for you.
- Once your soil reaches the laboratory we cannot refund you. They charge us the full price for the analysis whether you want the report or not.
- What the laboratory measures: soil pH, the phosphorus, potassium and magnesium levels, and organic matter as a percentage. That is the whole of it.
- Soil texture and free chalk are not laboratory tests. You tell us those yourself, with the hand test and the vinegar test in the app, and we combine them with what the laboratory sends back. We will always say which figure came from where.
- What it does not cover: contamination such as lead, arsenic or cadmium, which is a separate screen you would have to order specifically; soil-borne pests and diseases; and composts, manures or container growing media. If you think your site may be contaminated, because of what was there before or what is next door, say so before you order and we will tell you what to ask for.
- Results are interpreted against published index systems. Where our advice departs from published guidance we say so on the advice itself, and say why.
- The figures are yours to see. We show you what the laboratory measured and what we think you should do about it. The advice is ours; the measurements are simply facts about your soil.
8. Products
- Where we recommend a product it is because we believe it addresses something we have identified in your garden. We only name products we can actually supply.
- The manufacturer's label and safety data sheet are the instructions you must follow. Anything we say about a product is a summary to help you choose it, never a replacement for the label. A product used other than as its label directs is outside anything we can stand behind, and with an approved pesticide it is also an offence.
- A recommendation is not a promise of a result. Soil takes time to change, and sometimes the right advice is not to feed at all, in which case the Service will say so rather than offer you something.
- Your contract for the product is with us. Our supplier, DJL Agriculture Ltd, packs and posts it on our behalf, so their name may be on the parcel, but if anything is wrong with your order you come to us and we sort it out.
- We pass them your name and delivery address so they can send it, and nothing else. They may not use it for their own purposes. Our Privacy Policy explains this.
- If there is a problem, tell us and we will sort it out. Your contract is with us, so the refund, replacement or repair comes from us and you never have to chase anybody else.
- Contact us before you send anything back, and we will confirm the address. Products go back to where the stock lives rather than to our office, so please do not post anything until we have told you where. If we are slow to answer, that is our problem and not yours, and it will not count against your right to return.
- If an item is faulty, wrong or damaged, we pay the return postage. If you have just changed your mind, the return postage is yours to pay.
- We make our money on the difference between what we pay for a product and what we sell it for. We are not paid a commission to point you at anybody else's product, and we do not name a product we cannot supply. If the right advice is to do nothing, that is what the Service will tell you.
9. Your content
You keep all rights in the notes and other content you create in Grow Pro® ("Your Content").
You can upload one kind of photograph today: a receipt for garden spending. It is kept in your own account so that you can enter the items from it later, at your leisure; nobody but you sees it, and we do not read it. That is the only photograph the Service takes. The plant pictures you see are our own, from published sources under licences that permit their use.
A receipt photograph is yours to delete at any time. We delete it ourselves twelve months after you uploaded it, or when you delete your account, whichever comes first; the spending you entered from it stays with your records. Before you photograph a receipt, fold over or crop out the part that shows card digits or a loyalty number: we do not need them and would rather not hold them.
By creating Your Content you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt and display it in order to provide and improve the Service, in line with our Privacy Policy.
Letting you add photographs of your own garden is planned, along with using them to build our plant reference library. It is not in the Service today and we will not describe it as available until it is. When it arrives you will be able to object to your photographs being used for anything beyond your own garden record, and still use the Service normally, and we will never use children's content that way.
You will not upload or post anything that infringes someone else's rights, depicts identifiable people without their consent, or breaks the law.
If you delete Your Content we will remove it from your account and stop using it, though copies may remain in our backups for up to 90 days before they are overwritten.
10. Acceptable use
You agree not to:
- use the Service for anything unlawful, harmful, threatening or fraudulent
- reverse engineer, scrape or otherwise extract data from the Service except as expressly permitted
- use the Service to develop a competing product or to train a machine-learning model
- interfere with the Service's security, integrity or performance
- misrepresent who you are, or impersonate any other person
11. AI features and important disclaimers
There is no AI feature in the Service today. Grow Pro® does not identify plants from a photograph, and nothing you type is sent to an AI company. Section 3 lists what is planned, and we will not describe any of it as available until it is.
If that changes, this section changes first. Any AI output would be a prediction rather than a certainty, and it would be labelled as one.
Sourced reference information is different. Much of what the Service tells you about plants, soil and timing is not generated. It is curated from published sources and each claim records where it came from. We stand behind the accuracy of that information, and where we do not have a source we leave it blank and say so rather than guess.
No professional advice. Grow Pro® is for general information and is not a substitute for professional or specialist horticultural, medical, veterinary or legal advice.
Toxicity and edibility. Do not eat, taste or apply to skin any plant based solely on Grow Pro® output. Always confirm with a qualified expert. Where we know a plant is harmful to people or pets we tell you, before you plant it and again in your tasks, but our information is not a complete list of every plant that could cause a reaction. If you think somebody has eaten or reacted to a plant, contact NHS 111, or your GP, or a vet for an animal. In an emergency call 999.
Pesticides, fertilisers and chemicals. Always read the manufacturer's label and follow local regulations. Grow Pro® is not a substitute for the product label or professional advice.
See our AI Use & Governance Policy for the rules we would build any such feature to.
12. Rules that apply to what we tell you
Some of what the Service covers is regulated and we follow those rules rather than work round them.
- Pesticides. Only approved products may be used in a UK garden, and only in accordance with the label.
- Protected wildlife and plants. The Service carries the rules on nesting birds, bats, great crested newts, invasive non-native species and Japanese knotweed. Breaking several of them is a criminal offence.
- Peat. Sales of peat compost to home gardeners are being restricted in the UK, and the Service reflects that.
Where you need certainty, particularly on protected trees, hedges over two metres and anything on a boundary, take proper advice.
13. Our intellectual property
The Service, including its software, design, logos and content (other than Your Content), is owned by Gro Pro Ltd or its licensors and is protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own gardening purposes, in line with these Terms.
"Grow Pro®" is a registered trade mark (UK Trade Mark No. UK00004034914). You may not use our name, logo or branding without our prior written permission.
The plant photographs in the Service are licensed from other people. They come from published sources under licences that allow us to show them, and every photograph we display is credited — photographer, licence and source — on our Photo credits page, which is linked from every page of the Service and from every page that shows a photograph. They are not covered by the licence we grant you above: what you may do with one is set by the photographer's own licence, which is named on that page. If you think a photograph is credited wrongly, tell us at hello@growproltd.com and we will correct it or take it down.
14. Privacy
Our Privacy Policy explains what personal data we collect, how we use it, and your rights. Please read it carefully, as it forms part of these Terms.
15. Disclaimers and liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Subject to that paragraph, the Service is provided "as is" and "as available", and we do not give any other warranty (express or implied) including as to fitness for a particular purpose or the accuracy of AI outputs.
To the maximum extent permitted by law:
- for anything you buy from us, our liability will not exceed the amount you paid for that item
- for the Service generally, our total liability to you in any 12-month period will not exceed the amount you paid us in that period, or £100, whichever is greater
We are not liable for indirect or consequential loss, loss of profits, loss of data, or for damage to plants, gardens or property arising from your reliance on AI outputs, from weather, pests or disease, or from information you gave us that was wrong or out of date.
Nothing here affects your statutory rights. Digital content and services must be of satisfactory quality, fit for purpose and as described.
16. Termination
You can delete your account at any time from your account settings. You do not have to ask us and we will not put anything in the way of it. If you would rather we did it for you, email hello@growproltd.com.
We may suspend or close your account if you breach these Terms, if continued provision becomes unlawful or commercially unviable, or if we discontinue the Service. Where reasonable, we will give you advance notice and a chance to put it right.
Sections that by their nature should survive termination (including IP, disclaimers, liability and governing law) will survive.
17. Changes to the Service or these Terms
We may change the Service or these Terms from time to time. If a change is material, we will let you know in advance through the app, by email or by a notice on our website. Continuing to use the Service after a change means you accept the new Terms; if you do not accept, you can close your account.
18. Governing law and disputes
These Terms and any dispute about them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you live in another part of the UK or the EU you may also bring proceedings in your local courts.
19. Contact

Document control
| Version | Date | Author | Summary of changes |
|---|---|---|---|
| 1.0 | 2026-05-04 | Chris | Initial draft for internal review and legal sign-off |
| 1.13 | 2026-09-30 | Chris | Section 9: a gardener may upload a photograph of a receipt for garden spending, kept in their own account for entering the items later — the first half of the receipt feature Code specified on 30 September. Narrow on purpose: the only photograph the Service takes; nobody else sees it; we do not read it; deleted by the gardener at will, by us at twelve months, or with the account; a plain request to crop out card digits and loyalty numbers. The planned garden-photograph feature and the promise not to describe it as available are unchanged. Section 11 unchanged, because nothing leaves our servers. Not a material change under section 17: a feature the gardener chooses to use, no new recipient of data; no re-acceptance; new accounts accept 1.13. The second half — reading the receipt automatically — is drafted separately and is not in the Service |
| 1.12 | 2026-09-30 | Chris | Section 13: the photograph credits move from a line under every picture to one Photo credits page linked from every page, on the founder's request of 30 September (readability on a phone for an older audience). The section now describes that, and the sentence "named next to the picture" goes. Not a material change: it alters where a credit is shown, not what a customer may do or owes, so no re-acceptance is asked for; new accounts accept 1.12. The licences permit it: CC BY 4.0 and CC BY-SA 4.0 section 3(a)(2) allow attribution "in any reasonable manner based on the medium, means, and context" and name "a URI or hyperlink to a resource that includes the required information" as an example; CC 3.0 section 4(c) allows "any reasonable manner" provided the credit appears among the other contributors' credits and as prominently. Read 30 September 2026 |
| 1.11 | 2026-09-29 | Chris | Section 7: the soil test period changed on the founder's decision of 29 September from about six weeks measured from ordering to two weeks typical and four weeks agreed, measured from the day the customer posts the sample back, so that time a kit waits with the customer does not count; the remedy (tell us, we give a date, a full refund if that date is missed too) unchanged. The sentence quoting the laboratory's 30-day aim removed so the section carries one number, as Code asked. For the record: the laboratory's published terms (Terms and Conditions PDF, richardaustinagriculture.co.uk, read 29 September 2026, clause 3) allow it 30 days from acknowledgement, and the founder, knowing that, judged the real turnaround well inside it and accepted four weeks as the promise; the difference is a business risk he has taken, not a drafting oversight. Section 6: the two [X] despatch and delivery figures, blank since May because no product is sold, replaced by a sentence that the times are shown before payment when a product exists, on Code's suggestion. Privacy notice not bumped; the documents version independently |
| 1.10 | 2026-09-03 | Chris | Section 7 said the app prints the reference number on the sample bag, eight lines after the same section says nothing physical passes through us at any point. The laboratory packs and posts the kit, so we cannot print on anything in it. The app now generates and shows the number. Section 8 promised a return address on request, and we do not have one: the supplier address on file is a house rather than a warehouse. It now asks you to contact us first and says plainly that our slowness will not count against your right to return. The approval block corrected: it read as though the directors had approved every version, when they approved 1.1 and the corrections since have not been signed off |
| 1.9 | 2026-09-02 | Chris | Section 11 corrected. It opened by telling customers "The Service uses artificial intelligence to identify plants, suggest care actions and personalise content", which is not true and which section 3 of the same document contradicts in plain words. The v1.3 change log claims this was fixed; the fix landed in sections 3 and 9 and was never carried into section 11. The promise that AI outputs carry a confidence indicator has gone with it, because there are no AI outputs to label. Section 9 backup wording corrected from 30 days to 90, to match the Privacy Policy and the retention schedule, which both say deletion reaches backups within 90 days |
| 1.8 | 2026-09-02 | Chris | Section 13 now says where the plant photographs come from and that every photograph we display carries its photographer and its licence, which is a condition of the licences we hold and was nowhere in the published Terms. It also says the licence we grant you does not cover them, because it cannot: what a reader may do with a photograph is set by the photographer, not by us. A route to report a wrong credit added. Wording taken from what the application actually renders, measured at v9.85: 1,034 plants display a photograph and all 1,034 carry a credit line |
| 1.7 | 2026-09-02 | Chris | The soil test cancellation cut from three states to two, on the founder's instruction that it was being made harder than it is. There is no middle window and no deduction to explain: you get everything back until your soil reaches the laboratory, and nothing after it. That is simpler to read, simpler to operate, and MORE generous than v1.6, which still described a partial refund that in practice never arises because the laboratory charges nothing for a kit that is not returned |
| 1.6 | 2026-09-02 | Chris | The soil test cancellation wording corrected against what the laboratory said in writing on 2 September 2026. Their contract starts when the samples and order form physically reach them, not when we place the order, and they charge nothing for a kit that goes out and never comes back. Section 7 had told customers they would lose the cost of the kit and the analysis from the moment we placed the order, which threatened a deduction that does not exist. The line now sits where the founder put it: cancel yourself before the kit is posted, a conversation with us after that because there is usually nothing to deduct, and committed once the soil reaches the laboratory. The promise to stop a kit already in the post has gone, because it promised an outcome we do not control |
| 1.5 | 2026-09-02 | Chris | Section 7 corrected against the laboratory's published analysis menu. It said the standard test covers soil texture and free calcium carbonate "where the laboratory reports it". The laboratory offers two codes, A001 for pH, phosphorus, potassium and magnesium and OM for organic matter, and neither includes texture or free chalk. Both are still in the product, but the gardener supplies them by hand test and vinegar test, so the Terms were describing our own hand tests as laboratory results |
| 1.4 | 2026-09-01 | Chris | Section 9 rewritten. It described keeping photographs a customer uploads and building a reference library from them, and there is no photograph upload in the Service at all. The content licence no longer covers photographs we cannot receive. Customer photographs moved into what is planned, marked plainly as not available, with the right to object and the promise about children's content returning with the feature |
| 1.3 | 2026-09-01 | Chris | Section 3 rewritten to describe the Service as it is today. It had said the Service includes AI-driven plant identification, which does not exist in the application: there is no route, no screen and no upload path for it, and no part of the Service calls an AI provider. Plant identification moved to the list of things that will come, marked plainly as not available. Section 9 no longer licenses content to train "the models behind our plant identification", since there are none |
| 1.2 | 2026-09-01 | Chris | Changing your mind about a soil test answered in section 7, against the laboratory's own published terms, which give us no cancellation right once they have acknowledged an order and make no provision for a refund. The soil test corrected to what actually happens: the laboratory posts the kit, the sample goes back to the laboratory in a prepaid envelope, and nothing physical passes through us. Section 7 had said we send a replacement kit, which we do not. The six weeks for a soil test and the 30 days for a product no longer contradict each other: section 6 is scoped to products and the six weeks is stated as the period agreed for a test, with a remedy if it is missed rather than an open ended estimate. Richard Austin Agriculture Ltd and DJL Agriculture Ltd given company numbers and registered offices in section 19, having been named without an address. Our own company number added |
| 1.1 | 2026-09-01 | Chris | Written for web only: no app store section, and cancellation is from account settings rather than a platform store. Photographs are kept and used to build our own reference library, with a right to object. Soil testing rewritten against the laboratory's own published terms. Commerce added: changing your mind at 28 days, things we post, soil testing, products. Sourced information separated from AI output in the disclaimers. Regulation section added. Liability split between goods and service. Non-commercial restriction removed from the section 13 licence |
Approval
Version 1.1 was approved in writing by the directors of Gro Pro Ltd on 1 September 2026, and the executed copy is held by the company. Versions 1.2 to 1.13 correct errors of fact found after that approval and are awaiting the directors' sign off. They are published because leaving a known false statement up is worse than publishing the correction, and every change is listed above.
A signature is not reproduced here because a signature on a public web page can be copied and reused.
